USS SALISBURY SOUND ASSOCIATION CONSTITUTION
ARTICLE I - NAME
A. The name of this organization shall be the USS Salisbury Sound Association.
B. The principal office of this organization shall be located at 813 Branding Iron SE, Albuquerque NM 87123.
C. The duration of this organization is perpetual.
D. The organization is not for profit.
ARTICLE II - AFFILIATION
A. This organization shall not be affiliated with any other organization.
ARTICLE III - PURPOSE
A. The purposes of this organization are:
1. To provide a membership organization for all individuals who served aboard the United States Ship Salisbury Sound (AV-13), including those individuals who were members of squadrons served by the ship and those who were members of the Flag Staff.
2. To hold meetings and reunions.
ARTICLE IV - MEMBERSHIP
A. Membership in the association is available to all individuals who served aboard the United States Ship Salisbury Sound (AV-13), and to members of squadrons and staffs attached to or assigned to the ship.
ARTICLE V - GOVERNMENT
A. The government of this organization shall be vested in a 15-man Executive Board consisting of 6 officers: a President, Vice President, Secretary, Treasurer, Historian, Chaplain, and a 9-man Board of Directors.
B. The Executive Board shall be elected.
ARTICLE VI - METHOD OF AMENDING THE CONSTITUTION
A. The Constitution of the USS Salisbury Sound Association may be amended by written ballot when all Directors have been notified of the proposed amendments.
B. The Constitution of the USS Salisbury Sound Association may be amended by a majority of members present at any meeting of the association.
ARTICLE VII - TERMINATION OF MEMBERSHIP
A. At member’s request.
B. When a member brings discredit to the association.
ARTICLE VIII - DISSOLUTION
A. In the event of dissolution, the residual assets of the association shall be turned over to one or more organizations which are exempt as described by Internal Revenue Code 501 (c) (3) and 170 (c) (2), 1954 or corresponding sections of prior or future law, or to the Federal, State, or local government for exclusive public purpose.
B. Not withstanding any other provision of these articles, this organization will not carry on any other activities not permitted to be carried on by an organization exempt from Federal Income Tax under section 501(c) (3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United states Internal Revenue Law, or a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954 or any corresponding provision of any future United States Internal Revenue Code.
